Terms & Conditions of Sale
1. Definitions
"Clinihoney®", "we", "us" and "our" means the operator of the Clinihoney® brand and the supplier of the goods. "Customer" means the business entity purchasing goods from us. "Goods" means the Medical Grade Honey and related honey products supplied by us in industrial bulk formats (10 kg, 25 kg and 280 kg).
2. Business-to-business supply
Clinihoney® supplies Goods to business customers only. By placing an order, the Customer warrants that it is acting in the course of business and not as a consumer.
3. Specifications & documentation
Each batch is supplied with a Certificate of Analysis (COA) and Safety Data Sheet (SDS). The Customer is responsible for verifying that the specification of each batch is suitable for its intended end use, including any onward formulation, sterilisation, regulatory clearance or device registration.
4. Orders & pricing
Quotations are valid for 30 days unless stated otherwise. All prices are exclusive of VAT, duties and shipping. Orders are accepted subject to availability and to written order confirmation by us.
5. Delivery & risk
Unless otherwise agreed in writing, Goods are supplied Ex Works (Incoterms 2020). Risk passes to the Customer on collection or delivery to the agreed point. Delivery dates are estimates and time is not of the essence.
6. Payment
Payment terms are stated on each invoice. Late payments accrue interest at the statutory rate applicable in the supplier's jurisdiction. Title to the Goods does not pass to the Customer until payment is received in full.
7. Warranties & liability
We warrant that Goods conform to the agreed specification at the point of dispatch. Our liability for any claim is limited to the invoice value of the Goods in question. We accept no liability for indirect or consequential loss, loss of profit, or loss arising from the Customer's downstream processing, formulation or end-use of the Goods.
8. Intellectual property
Clinihoney® is a registered trademark and a quality mark used by us to identify Medical Grade Honey meeting our defined specification. The Customer is granted no right or licence to use the Clinihoney® mark, logo or any associated branding without prior written agreement.
9. Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to harvest failure, regulatory action, transport disruption or acts of government.
10. Governing law
These terms are governed by the laws of England & Wales and the parties submit to the exclusive jurisdiction of its courts.
